Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding agreement between you ("Customer" or "you") and Wildfire Growth LLC ("Wildfire Growth," "Dropin," "we," "us," or "our"), governing your access to and use of the Dropin platform at getdropin.io and app.getdropin.io, including all related services, features, and applications (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Services

Dropin is a video content management platform that enables:

• Video content scheduling and publishing across multiple social platforms
• Team collaboration and workflow management for content pipelines
• Content organization, review, and approval workflows
• Analytics tracking and performance monitoring
• Multi-platform social media account management

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access to or use of your account

Workspace administrators are responsible for managing user permissions and access within their organization.

5. Subscription and Billing

• Subscriptions are billed monthly or annually in advance, depending on your selected plan.
• All fees are non-refundable except as required by applicable law.
• Subscriptions automatically renew unless cancelled before the end of the current billing period.
• You are responsible for all applicable taxes associated with your subscription.
• We reserve the right to change pricing with reasonable notice. Price changes will take effect at the start of your next billing period.

6. Social Media Connections

• The Service allows you to connect social media accounts via OAuth authorization.
• You are responsible for ensuring your use of the Service complies with the terms of service of each connected social media platform.
• You may disconnect your social media accounts from the Service at any time.
• We are not responsible for changes to third-party platform APIs, terms, or availability that may affect the Service.

7. Content Ownership

• You retain all ownership rights to content you create, upload, or schedule through the Service.
• By using the Service, you grant Wildfire Growth LLC a limited, non-exclusive license to host, store, transmit, and distribute your content solely as necessary to operate and provide the Service.
• You are solely responsible for the legality, reliability, and appropriateness of all content you submit. You represent that you have all necessary rights and permissions to use and publish such content.

8. Acceptable Use

You may not use the Service to:

• Engage in any unlawful activity or solicit others to perform unlawful acts
• Violate any international, federal, state, or local regulations or laws
• Infringe upon the intellectual property rights of others
• Harass, abuse, insult, harm, defame, or discriminate against any individual or group
• Submit false or misleading information
• Upload or transmit viruses or any other type of malicious code
• Attempt to gain unauthorized access to the Service or its related systems
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to develop a competing product
• Access the Service through automated means outside of our official APIs

9. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Wildfire Growth LLC and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or obligation to you.

10. Third-Party Services

The Service integrates with third-party platforms and services. We are not responsible for the practices, content, or availability of any third-party services. Your interactions with third-party services are governed by their respective terms and privacy policies. We do not guarantee compatibility with any third-party platform and are not liable for changes to third-party APIs or services.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

IN NO EVENT SHALL WILDFIRE GROWTH LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Wildfire Growth LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All fees owed prior to termination remain due. We may delete your data after a reasonable period following account termination.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the courts located in Delaware.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, either through the Service or via email. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.
